Virtual F2F Board Meeting Minutes
August 14th, 2021

Acknowledging that we are all here for our personal recovery, the mission of the CoDA Board of Trustees is to ensure the longevity and fiscal health of the organization, to support the Fellowship’s ongoing service work, to promote CoDA unity and to reach the still suffering codependents. 

OPENING (8:00 am – 8:05 am – 5 min) 

Serenity Prayer - God, grant me the serenity to accept the things I cannot change, courage to change the things I can, and wisdom to know the difference. 

Order of round robin – Barbara, Faith, Florence, Joe, Katherine, Yaniv, Gail 

 Check in – 30 seconds each   

Are we okay with recording for use in preparing the Minutes/Notes? Yes

OLD BUSINESS: (8:10 am – 8:40 am - 30 min) 

Are we ready to accept the Minutes/notes of the Virtual F2F Meeting of August 7th, 2021?  

Motion: Faith
Second: Barbara

Vote: Approval unanimous

Old Business: 

1. Liaison positions – update on confirmations.
2. Changing of the Guard docs –To confirm with Connie that all executed Changing of Guard docs have been received and electronically filed.
3. H&I mail –

Motion: Barbara. Move that we create a Fellowship Service Worker (FSW) position for clerical support for the committees. Second: Gail Vote: unanimous.
Need for additional Liaison positions, for this FSW: Liaison: Katherine and Barbara as back up Liaison.

4. FSM – Pre-CSC FSM corrections.
   Discussion followed by GC to keep the Board Application on the FSM as it is. Continue to use the Board’s updated Board Application on the Board’s CoDA.org webpage and future 2022 Delegate Page.
5. Post CSC FSM changes – Update on Trusted Servant’s progress.
6. Post CSC actions: 
   a) Motion Summary: Motions Summary needs to be reviewed and approved by the Board and posted in the Delegate Package within 3 weeks of CSC (by August 20^th). 

Motion by Gail: To approve Motion Summary as amended.
Note: Add a line in the summary correcting the “Motion from the Floor” under New Business. In error, it was listed as a Voting Entity Issue (VEI).

Approval unanimous.
b) CoDA Structure Chart – Board Motion # 21008 Under the CoDA Board of Trustees box, correct the “Board of Directors” to “Board of Trustees”.
c) Update the Bylaws – Association Management Company (AMC) to update the Bylaws and send to Board for review and approval. (CSC Motions #21010 & #21011)

7. Legal Liaison email inquiry from AZ: Inverted pyramid diagram.
   GC: This is not a legal issue, thus sent this matter back to AZ Voting Entity.
8. Motions with simple majority: 
         a) 2021 CSC motions affected: 
              * #21008 Board Motion #2 – Service Structure Chart
              * #21035 TMC Motion #1 – Translation & Publication Information/Disclaimer
         b) Procedure discussed: Send Fellowship email of which one(s) the Board is not endorsing and why. 
9. Board Strategic Plan: AMC is working on locating qualified company(s) to assist us with this. 
10. Website Liaison:
    a) Web liaison Transition Team meeting is on Monday August 16th (outgoing Chair and Web Liaison, new Chair, new Web Liaison, Webmaster), Website consultant and IntersectionOnLine (Website developers for CoDA.org)
    b) Apple and Android CoDA Meeting App – Alcoholics Anonymous (AA) app was created and is owned by AA.
    c) Time-Zone Estimate – currently we offer time zone for online and phone search, getting estimate from IntersectionOnLine to get the time zone feature for all meeting types.
    d) Meeting search was not working this past week, error pages, they have no idea what happened, it just started working again, will continue to monitor.

NEW BUSINESS:  

1. CoDA Teen – We can start work on website page.
2. TMC email request for 2x2 meeting.
3. Frequency of Board meetings/workgroups.

* Board P&P states we will meet minimum of twice a month.
* Could possibly have Workgroup meetings on a day/time other than Saturdays.

4. Email Coordinator updated Fellowship Service Worker (FSW) Agreement. 100% approval.

Next Public Board Meeting – September 4^th at 8 AM 

Next Workgroup Meeting – Not determined yet, will determine based on email discussions.
